    3. Personal Guarantee – To be signed by all director(s) of a limited company or member(s) of an LLP only

    3.1 In consideration of Walter Bailey (Par) Limited providing supplies of goods to the Company/LLP referred to in section 1 above, I/we the undersigned being director(s)/member(s) of the Company/LLP hereby guarantee the due and punctual payment of all invoices (including VAT and interest lawfully due) charged by Walter Bailey (Par) Limited to the Company/LLP for goods supplied by Walter Bailey (Par) Limited (Guaranteed Obligations).
    3.2 The guarantee is a continuing guarantee which shall remain in force and effect until all Guaranteed Obligations have been satisfied or performed in full, notwithstanding any intermediate satisfaction or performance of the Guaranteed Obligations by the Company/LLP, or me/us or any other person.
    3.3 My/our Liability to Walter Bailey (Par) Limited under this guarantee shall not be reduced, discharged or otherwise adversely affected by any act, omission, matter or thing which would have discharged or affected my/our liability had I/we been a principal obligor(s) instead of a guarantor, or indemnifier, or by anything done or omitted by any person which, but for this provision, might operate or exonerate or discharge me/we or otherwise reduce or extinguish my/our liability under this guarantee.
    3.4 I/we, as principal obligor(s) and as a separate and independent obligation and liability from my/our obligations and liabilities under clause 3.1, agree to indemnify, and keep indemnified, Walter Bailey (Par) Limited in full and on demand from and against all and any losses, costs, claims, liabilities, damages, demands and expenses suffered or incurred by Walter Bailey (Par) Limited that arise out of, or in connection with, the Guaranteed Obligations not being recoverable for any reason or any failure of the Company/LLP to perform or discharge any of its obligations or liabilities in respect of the Guaranteed Obligations.
    3.5 I/we waive any right I/we may have to require Walter Bailey (Par) Limited (or any trustee or agent) to proceed against or enforce any other right or claim for payment against any person before claiming from me under this guarantee.
    3.6 This guarantee is in addition to and shall not affect nor be affected by or merge with any other
    judgment, security, right or remedy obtained or held by Walter Bailey (Par) Limited from time to time in respect of the discharge and performance of the Guaranteed Obligations by the Company/LLP.
    3.7 The obligations under this guarantee and indemnity are on a joint and several basis.
    BY SIGNING BELOW IN THIS SECTION 3, YOU ARE ENTERING INTO A GUARANTEE UNDER WHICH YOU MAY BECOME LIABLE INSTEAD OF OR AS WELL AS THE COMPANY/LLP. YOU MAY WISH TO SEEK INDEPENDENT LEGAL ADVICE BEFORE ENTERING INTO THIS GUARANTEE.
    I/We hereby agree to provide in my/our own personal capacity the guarantee and indemnity set out in clauses 3.1 to 3.7 above.

    4. Data Protection Act

    We may periodically carry out searches with a credit reference agency, which will keep a record of those searches and will share that information with other businesses. We will also keep a copy of the search record. We may also make enquiries about the principal directors or members with a credit reference agency.
    Under the Data Protection Act 1998 you can ask for copies of paper and computer records that we hold, share or use about you.

    5. Declaration

    I/we do not consider that this application relates, in any way whatsoever, to an authorised consumer credit activity or activities set out by the FCA that requires either limited or full permission to proceed. Therefore, this application does not fall under the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001.
    If for any reason this application is construed as a regulated activity under Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, this application will be exempt as I/we declare that this application is made wholly or predominantly for the purpose of carrying out my/our business. The trade account requested from Walter Bailey (Par) Limited pursuant to this application is intended for business purposes only. I/we agree understand that as a result, I/we will not have the benefit of the protection and remedies that would be available to me/us under the Financial Services and Markets Act 2000 or Consumer Credit Act 1974.
    I/we have read, understood and accept the terms and conditions overleaf and those within this application form. I/we acknowledge that the terms and conditions over leaf shall apply and be incorporated into each and every agreement for the supply of goods by Walter Bailey (Par) Limited to me/us. Where the applicant is a company or limited liability partnership (LLP) I/We hereby sign on behalf of that company or LLP and I/we declare that I/we are authorised to sign in my/our capacity as a director of the company and/or member of the LLP.
